1. Scope and acceptance
These Terms of Service and Subscription Terms govern access to and use of the websites, applications, platforms, tools, content, and services offered under the Wellbore Bridge brand (collectively, the “Service”). By creating an account, purchasing a subscription, accessing the Service, or using it, you confirm that you have read and agree to these Terms.
If you use the Service for a company or other organization, you represent that you have authority to bind it. In that case, “you” includes that organization and its authorized users.
If you do not agree to these Terms, you must not use the Service.
2. Eligibility and accounts
You must have legal capacity to enter into a contract and meet the minimum age required by applicable law. You may not use the Service if access is prohibited by law or if a prior account was suspended for a material violation.
You are responsible for providing accurate information, keeping it current, safeguarding credentials, and controlling activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access, lost credentials, or a security incident.
We may request reasonable verification to protect accounts, prevent fraud, or meet legal obligations. We are not responsible for losses caused by shared credentials or a user's failure to take reasonable security measures.
3. The Service
Wellbore Bridge provides digital solutions for communication, collaboration, information management, workflows, and other functions described within the Service. Available features may vary by plan, device, region, integration, or purchasing arrangement.
We may improve, modify, replace, or discontinue features for technical, operational, commercial, legal, or security reasons. We will seek to provide reasonable advance notice if a change materially reduces a core feature of an active paid subscription, unless immediate action is necessary.
The Service may include preview, beta, or experimental features. They may change, contain errors, or become unavailable and are provided without a specific continuity commitment.
4. Subscriptions, charges, and taxes
When you purchase a paid plan, you authorize charges for the fees displayed during checkout and applicable taxes. Pricing, billing periods, usage limits, and included features are presented before purchase confirmation.
Unless stated otherwise, subscriptions renew automatically for successive periods of the same length. You authorize recurring charges to your payment method until you cancel renewal.
You must maintain a valid payment method. If a charge fails, we may retry it, request an alternative method, limit features, or suspend paid access. You are responsible for applicable taxes, duties, and governmental charges other than taxes imposed on our income.
Questions about invoices, charges, renewals, or refunds should be sent to [email protected].
5. Trials, promotions, and plan changes
Free trials and promotions may be subject to eligibility rules, duration, availability, and limits disclosed with the offer. Unless a trial is stated to end automatically, charges for the selected plan may begin when the trial ends.
Upgrades may take effect immediately and result in prorated charges. Downgrades ordinarily take effect in the next billing period and may reduce features, capacity, or access to certain data. You are responsible for reviewing and exporting affected information before changing plans.
We may change prices for future billing periods. When required, we will notify you before renewal, and you may cancel before the new price applies.
6. Cancellation and refunds
You may cancel renewal through available account controls or by contacting [email protected]. Cancellation prevents future charges but ordinarily leaves access available through the end of the paid billing period.
Payments are non-refundable unless the Service expressly states otherwise or applicable law provides a right to a refund, withdrawal, or cancellation. Nothing in these Terms restricts mandatory consumer rights.
Deleting an account is different from cancelling a subscription. Before account deletion, you must cancel any subscription managed by a third party, such as an app marketplace, under that third party's rules.
7. Acceptable use
You may use the Service only for lawful purposes and in accordance with these Terms. You may not:
- violate laws, third-party rights, contractual duties, or privacy requirements;
- upload malware, harmful code, or material intended to disrupt the Service;
- attempt unauthorized access to accounts, systems, networks, data, or restricted areas;
- interfere with the security, availability, performance, or integrity of the Service;
- circumvent technical limits, access controls, or usage restrictions;
- reverse engineer, decompile, or extract source code except where expressly permitted by law;
- use automated methods to collect information or create abusive loads without permission;
- impersonate others, misrepresent affiliations, or facilitate fraud;
- use the Service to harass, threaten, exploit, or harm another person;
- resell, sublicense, or make the Service available beyond what your plan permits.
We may investigate activity that reasonably appears inconsistent with this section and take proportionate measures to protect the Service and its users.
8. User content and data
As between the parties, you retain rights in information, files, messages, images, settings, and other materials you submit to the Service (“User Content”). You grant us a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, and technically adapt User Content only as needed to provide, protect, maintain, and improve the Service, follow your instructions, and meet legal obligations.
You represent that you have the rights and permissions necessary for User Content and that its processing through the Service does not violate third-party rights. If you submit personal data about others, you are responsible for having a valid legal basis and providing required notices.
We do not acquire ownership of User Content. Our processing of personal data is described in the Privacy Policy.
9. Organizations, administrators, and authorized users
If an organization provides or manages an account, its administrators may control users, permissions, settings, integrations, access, and content retention. The organization may access, manage, export, or delete information associated with its environment, subject to its agreement and applicable law.
If you link a personal account to an organization, understand that its administrator may gain control over the account or linked information. The organization's instructions concerning that data may take priority over an individual user's instructions.
10. Third-party services and integrations
The Service may connect to third-party products, links, content, or services. Their use is governed by their own terms and policies. We do not control and are not responsible for third-party availability, security, content, or practices.
When you enable an integration, you authorize us to exchange the information needed to perform the requested function. You are responsible for reviewing permissions and disabling integrations you no longer use.
11. Wellbore Bridge intellectual property
The Service, including its software, design, interface, documentation, brands, trade names, and proprietary content, is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no ownership rights are transferred to you.
If you provide suggestions or feedback, we may use them without restriction or compensation, provided we do not publicly identify you as the source without permission.
12. Privacy and security
The Privacy Policy explains how we collect, use, share, and protect personal data. We use reasonable technical and organizational safeguards appropriate to the Service and relevant risks. No system is completely secure, and we cannot guarantee that every incident is preventable.
You must use appropriate security settings and controls, limit permissions, and make backups or exports when the Service supports them.
Industrial data and document storage
As between the parties, the organization retains its rights in telemetry, configurations, installation reports, technical documents, and other operational information. WellboreBridge does not acquire ownership of those materials and may process them only to provide the Service, follow authorized instructions, maintain security, and meet legal obligations.
When local, NAS, or customer-managed S3-compatible storage is enabled, the customer is responsible for the availability, capacity, backup, credentials, and recovery of that infrastructure unless a written agreement states otherwise. Any WellboreBridge-managed storage offering will require separate purchase and specific terms.
OCR, indexing, and AI-assisted functions are not authorized merely because a document is uploaded or linked. The organization must enable them expressly. WellboreBridge will not use customer documents or telemetry to train general-purpose models.
13. Suspension and termination
We may limit, suspend, or terminate access when reasonably necessary to prevent harm, address a security risk, comply with law, respond to a valid order, prevent fraud, manage nonpayment, or address a violation of these Terms.
Where circumstances permit, we will provide notice and a reasonable opportunity to cure. We may act immediately in cases of urgent risk, illegal conduct, serious abuse, or danger to others.
You may stop using the Service at any time. Provisions that by their nature should survive will remain effective, including those addressing outstanding payments, intellectual property, liability limitations, indemnification, and disputes.
14. Availability and support
We work to keep the Service available, but interruptions may result from maintenance, failures, third-party providers, security events, or circumstances outside our control. Unless a written agreement provides a specific service level, we do not guarantee uninterrupted or error-free availability.
Technical support requests may be sent to [email protected]. Response times may vary by plan, priority, and incident type.
15. Disclaimer of warranties
To the extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from a course of dealing.
We do not warrant that the Service will meet every need, produce a particular result, be compatible with every system, or that every error can be corrected. Warranties that cannot legally be excluded remain effective to the minimum extent required by law.
16. Limitation of liability
To the fullest extent permitted by law, Wellbore Bridge will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, opportunities, goodwill, data, or use, even if advised that such damages were possible.
To the fullest extent permitted by law, total aggregate liability relating to the Service will not exceed the amount you paid for the Service during the twelve months before the event giving rise to the claim. If you paid nothing for the Service, the limit will be one hundred U.S. dollars or its equivalent.
These limits do not apply where liability cannot lawfully be limited, including, where applicable, fraud, willful misconduct, personal injury caused by negligence, or mandatory consumer rights.
17. Indemnification
To the extent permitted by law, you will defend and indemnify Wellbore Bridge against third-party claims arising from your User Content, unlawful use of the Service, violation of third-party rights, or breach of these Terms. This obligation does not apply to the extent a claim results from our own unlawful conduct.
18. Electronic communications
You agree to receive operational, security, billing, and service communications electronically. These communications are part of the Service and may not always be disabled while you maintain an account.
Marketing communications will be sent in accordance with applicable law and may be stopped using the mechanism provided in the message. Opting out of marketing does not prevent essential account or Service notices.
19. Changes to these Terms
We may modify these Terms to reflect changes to the Service, law, risks, or practices. If a change is material, we will provide reasonable notice through the Service, email, or another appropriate channel. Continued use after the change applies constitutes acceptance unless applicable law requires a different form of consent.
20. Governing law and disputes
These Terms are interpreted under the law applicable to the relationship between the parties, without depriving consumers of mandatory protections available where they reside. Before filing a formal claim, the parties will attempt in good faith to resolve the dispute through written notice and a reasonable negotiation period.
If no resolution is reached, a dispute may be brought before a court of competent jurisdiction under applicable law. Nothing in this section prevents either party from seeking urgent relief to protect rights, data, security, or intellectual property.
21. General terms
If a provision is invalid or unenforceable, it will be adjusted only as necessary, and the remaining provisions will continue in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without prior consent unless the law provides otherwise. We may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Service, subject to applicable law.
These Terms, the Privacy Policy, terms displayed when purchasing a plan, and any applicable written agreement form the agreement concerning the Service.
22. Contact
- infringir leyes, derechos de terceros, obligaciones contractuales o normas de privacidad;
- cargar malware, código dañino o contenido diseñado para alterar el Servicio;
- intentar acceder sin autorización a cuentas, sistemas, redes, datos o áreas restringidas;
- interferir con la seguridad, disponibilidad, rendimiento o integridad del Servicio;
- eludir límites técnicos, controles de acceso o restricciones de uso;
- realizar ingeniería inversa, descompilar o extraer código salvo cuando la ley lo permita expresamente;
- utilizar métodos automatizados para recopilar información o generar cargas abusivas sin autorización;
- suplantar identidades, engañar sobre afiliaciones o facilitar fraude;
- utilizar el Servicio para acosar, amenazar, explotar o perjudicar a otras personas;
Datos industriales y almacenamiento documental
